STATUS
GENERAL PROVISIONS
§1
1. The Foundation under the name Impact Heroes Foundation, hereinafter referred to as the "Foundation", operates on the basis of the Act of April 6, 1984 on foundations (Journal of Laws of 1991, No. 46, item 203), the Act of April 24, 2003 on public benefit activities and volunteering (Journal of Laws of 2003, No. 96, item 873) and this Statute.
2. The Foundation was established by Adrian Michalczuk, hereinafter referred to as the "Founder", by a notarial deed prepared by notary public Edyta Anna Pietrewicz at the Notary Office in Sopot on December 21, 2016, per Rep. A no. 5482/16.
§2
The headquarters of the Foundation is Sopot.
§3
1 The Foundation operates in the territory of the Republic of Poland.
2. In order to properly implement its statutory objectives, the Foundation may operate in Poland and abroad.
3. The Foundation has legal personality.
4. The Foundation was established for an indefinite period.
§4
1. The Foundation may create branches, subsidiaries and join companies and other foundations.
2. The Foundation does not operate to make a profit. The income generated will be allocated to the implementation of the Foundation's statutory objectives.
3. The Foundation may conduct business activities to the extent necessary to achieve its statutory objectives.
§5
1. For the purposes of cooperation with foreign countries, the Foundation may use translations of its name in selected foreign languages.
2. The Foundation may establish prizes and distinctions and award them to natural and legal persons who have made outstanding contributions to the Foundation.
§6
The minister responsible for the purpose of the Foundation is the Minister of Culture and National Heritage.
STATUTORY ACTIVITIES
§7
The purpose of the Foundation is:
1. Development of civil society,
2. Activities providing organizational, technical, training, information and financial support to non-governmental organizations.
3. Promoting and shaping conscious leadership.
4. Cultural and educational activities.
5. Promoting activism and pro-social activities.
§8
Statutory goals are achieved through:
1. Building and strengthening a community of donors, volunteers, leaders and activists,
2. Organization of meetings, lectures, workshops, training, discussion groups and cultural and artistic events for non-governmental organizations and civil society,
3. Training for members of non-governmental organizations and entities cooperating with them,
4. Organizing training and courses to improve professional qualifications,
5. Collecting and reporting information regarding non-governmental organizations,
6. Conducting publishing activities implementing the statutory objectives of the Foundation,
7. Supporting the activities of local communities aimed at civic activity,
8. Organizing educational activities.
§9
1. The Foundation's statutory activities may be conducted both as unpaid activities and as paid activities within the meaning of the provisions on public benefit activities and volunteering.
2. The Foundation may pursue its goals through paid and unpaid public benefit activities in the sphere of public tasks related to culture, art, protection of cultural goods and national heritage, in the following scope:

§10
1. Income from paid public benefit activities of the Foundation serves exclusively to achieve its statutory objectives.
2. The Foundation cannot conduct paid public benefit activities and commercial activities in relation to the same subject of activity.
§11
To achieve its goals, the Foundation may support the activities of other legal entities and natural persons whose activities are consistent with the Foundation's goals, and may accept orders from governmental and non-governmental organizations in accordance with its statutory goals.
ASSETS AND INCOME OF THE FOUNDATION
§12
The assets of the Foundation are the founding fund with a monetary amount of PLN 1,500.00 (one thousand and five hundred zlotys) contributed by the Founder, of which PLN 1,000.00 (one thousand zlotys) is intended for business activities.
§13
1. The Foundation's income comes from:
1. Donations, inheritances, bequests,
2. Subsidies from legal entities,
3. Profit from deposits in banks and capital market institutions in Poland and abroad,
4. Profits from real estate constituting the Foundation's assets,
5. Business activities conducted by the Foundation.
2. The subject of the Foundation's economic activity is activity in the field of:

2. 47.91.Z Retail sale via mail order houses or via the Internet
3. 47.99.Z Other retail sales conducted outside the store chain, stalls and markets
4. 58.11.Z Publishing books

7. 59.11.Z Activities related to the production of films, videos and television programs
8. 59.12.Z Post-production activities related to films, videos and television programs

3. The Foundation undertakes activities supporting obtaining permits or concessions after obtaining them.
§14
Income from grants, donations, inheritances and bequests may be used to achieve all of the Foundation's goals.
§15
If the Foundation is appointed to inherit, the Foundation's Management Board submits a declaration of acceptance of the inheritance with the benefit of inventory only if, at the time of submitting this declaration, it is known that the inheritance debts do not exceed the assets.
§16
The Foundation maintains financial management and accounting records in accordance with the regulations applicable to legal entities.
FOUNDATION BODIES
§17
1. The Foundation's Management Board manages its activities and represents the Foundation externally.
2. Resolutions of the Foundation's Management Board are adopted by a simple majority of votes in the presence of all members of the Management Board, and the President's vote is decisive in the event of equality of votes.
§18
1. The Foundation's Management Board consists of 1 to 5 people, including the President and Members of the Management Board.
2. The President and Members of the Management Board are appointed by the Founder.
3. The Founder may serve on the Management Board.
4. The term of office of the Management Board is 1 year. You may hold a position on the Management Board for more than one term of office.
5. Membership in the Management Board ceases upon the expiry of the term of office, resignation, death or loss of civil rights as a result of being convicted by a final court judgment of a crime committed intentionally.
§19
1. Each Member of the Management Board acting independently is authorized to represent the Foundation and make declarations of will.
2. In property matters, the signature of two Members of the Management Board, including the President, is required.
3. Members of the Foundation's Management Board may conclude contracts regarding the provision of work for the Foundation, however, the condition is that they do not have a negative impact on the interests of the Foundation and must be approved by the other Members of the Management Board.
4. Members of the Management Board may receive remuneration for performing their duties if approved by the President.
§20
1. Meetings of the Management Board are held as needed, but at least once a quarter.
2. Meetings of the Foundation's Management Board are convened via e-mail sent to the e-mail address declared by each Member of the Management Board.
3. Each Member of the Management Board is entitled to convene a Management Board Meeting.
4. All Members of the Management Board must be informed about the meeting.
5. Decisions of the Management Board take the form of resolutions adopted in accordance with §15 section 2 of the Statute.
6. All Management Board members should participate in the Management Board meeting.
7. In emergency cases, an extraordinary meeting of the Management Board may be scheduled. All Members of the Management Board must participate in such a meeting.
8. Meetings of the Management Board may be conducted by telephone or via instant messaging, in a manner enabling communication between all participating Members of the Management Board.
9. The place of stay of the person chairing the meeting is deemed to be the place of a meeting conducted by telephone or via instant messenger.
§21
The competences of the Foundation's Management Board include in particular:
1. Managing the current activities of the Foundation,
2. Representing the Foundation externally,
3. Management of the Foundation's assets and funds,
4. Determining the rules for remunerating the Foundation's employees,
5. Developing the Foundation's action programs,
6. Implementation of the Foundation's action programs,
7. Preparation and approval of the Foundation's annual substantive and financial report,
8. Implementation of specific decisions of donors, unless they are inconsistent with the objectives of the Foundation or the provisions of this Statute,
9. Adopting changes to the Statute, merger, creation of a branch of the Foundation or liquidation of the Foundation.
CHANGE OF THE STATUTE OF THE FOUNDATION, LIQUIDATION OF THE FOUNDATION
§22
1. Changes to the Foundation's Statute are made by the Foundation's Management Board.
2. Resolutions on amending the Foundation's Statute are adopted unanimously in the presence of all Members of the Foundation's Management Board.
§23
1. The Foundation is liquidated if the objectives for which it was established are achieved.
2. The decision to liquidate the Foundation is made by the Foundation's Management Board by way of a unanimous resolution.
3. The liquidation is conducted by the liquidator or liquidators appointed by the Foundation's Management Board, numbering up to 3 people. The assets remaining after liquidation are intended for the statutory purposes of the Foundation.
4. The provisions regarding the Management Board Members shall apply accordingly to the provisions regarding the liquidators.
§24
1. The Foundation shall submit annually by March 31 to the competent minister a report on its activities for the previous year.
2. This Statute comes into force on the day of registration by the competent Registry Court. Sopot, February 15, 2017
